Hub Host Agreement

This Hub Host Agreement (“Agreement”) is between HollerShop LLC, a Delaware limited liability company doing business as HollerShop (“HollerShop,” “we,” “us”), and you (the “Hub Host” or “Host”). By signing the Hub Host Onboarding Package or by operating a HollerShop hub at your space, you accept this Agreement.
1. What a hub is
A hub is a physical location where HollerShop customers pick up orders and where HollerShop vendors drop off goods. The Hub Host provides the space and on-site presence during designated pickup windows. HollerShop coordinates orders, vendor handoffs, customer notifications, and payments.
The Hub Host is notHollerShop's employee, agent, partner, or franchisee. The Host is an independent contractor operating their own location.
2. The space
- You represent that you own, lease, or otherwise have the legal right to operate a HollerShop hub at the location described in your application, and that operating a hub there does not violate any lease, zoning ordinance, HOA/covenant, or other restriction.
- You will keep the hub area clean, safe, and accessible to customers during published pickup windows.
- If the space stores food, you will maintain refrigeration (where applicable) at safe temperatures and follow the food safety standards required by NC and any local health code for the type of goods being held.
- You will display HollerShop signage in a visible location during pickup hours. Signage is provided by HollerShop and remains HollerShop's property.
3. Pickup windows and staffing
- Posted hours. Pickup windows are the hours HollerShop publishes for your hub in the customer-facing catalog. You commit to having a person present at the hub able to release orders during every posted window.
- Changes.You will give HollerShop at least seven (7) days' notice of any change to your standard pickup hours so we can update the catalog. Unexpected closures (illness, power outage, weather) require same-day notice to hubs@hollershop.com so we can notify affected customers.
- Identity check.You will release each order only to the customer named on the order (or someone the customer has identified to HollerShop in writing). If you're not sure, hold the order and contact HollerShop support.
4. Vendor drop-offs
- Vendors will deliver goods to the hub during a drop-off window communicated through HollerShop. You agree to accept drop-offs during those windows.
- You may refuse to accept goods that arrive damaged, visibly unsafe, past code-date, or improperly packaged. Flag any refused or damaged goods in the attendant dashboard so HollerShop can resolve with the vendor.
- You will store goods according to any storage instructions HollerShop or the vendor provides (refrigeration, frozen, ambient).
5. Compensation
You earn the following from HollerShop for operating a hub:
- Per-order fee: $1.00 per fulfilled order released or handed off at your hub, whether B2C pickup or B2B delivery handoff. Accrued at the time the order moves to ready, fulfilled, or shipped status in the HollerShop attendant dashboard.
- Booth rent: 100% to you. If a vendor pays monthly booth rent to stock product at your hub, HollerShop collects the rent on your behalf and remits it to you in full each month. HollerShop earns no portion of booth rent.
- Optional addendum. A per-hub Hub Host Onboarding Package, signed separately, may add: a monthly minimum during ramp-up, reimbursement of agreed-on operating costs (e.g., refrigeration utility share, signage installation), or other negotiated terms.
Compensation is paid monthly in arrears via Stripe Connect transfer or, where Stripe Connect is not feasible, by ACH or check, on or before the 15th of the following month. HollerShop will provide a monthly statement showing orders released and fees earned.
HollerShop may change the per-order fee or other terms in this Section on thirty (30) days' written notice. If the change is material and you don't agree, you may terminate under Section 11 without penalty during the notice period.
6. Insurance
You agree to maintain at all times:
- Commercial general liability insurance covering the hub location, with at least $1,000,000 per occurrence and $2,000,000 aggregate.
- Coverage that includes premises liability (slip-and-fall, etc.) for customers and vendors visiting the hub.
- Where applicable to your existing business, property and spoilage coverage adequate for goods you hold at the hub.
You agree to add HollerShop LLC as additional insureds on the general liability policy and to provide a Certificate of Insurance on request.
7. Food safety and compliance
- You are responsible for compliance with all applicable health-code, zoning, and licensing requirements for your space.
- If your hub holds food, you will follow NC health-code storage requirements and maintain a temperature log if holding perishables for more than four hours.
- You will cooperate with any inspection request from a health department or other regulator.
- If you become aware of a food-safety issue with any goods held at the hub, you will isolate the affected goods, notify HollerShop within two (2) hours, and cooperate in any recall.
8. Customer data and privacy
HollerShop shares with you only the customer data you need to release orders — typically the customer's name, the items in the order, and the pickup window.
You agree to:
- Use customer information only to release orders and respond to in-person pickup issues.
- Not market directly to HollerShop customers (mailing list, promotions, etc.) without the customer's separate consent.
- Not retain customer data after the order is released, except as needed for your own tax/legal records.
- Keep order pick-up records (customer name, order ID, date) for at least 12 months in case of dispute.
9. Branding and signage
- HollerShop will provide signage, color palette, and approved wording for your hub. You will use only HollerShop-approved marks for the hub display.
- HollerShop's name and logo are owned by HollerShop LLC. You receive a limited, revocable, non-exclusive license to display HollerShop marks at your hub solely for the purpose of operating it under this Agreement.
- You may not represent your hub as a HollerShop store, franchise, or branch — only as a HollerShop pickup location operated by your business.
10. Confidentiality
Each party will keep the other's non-public business information confidential. The Hub Host Onboarding Package (including compensation terms), HollerShop vendor lists, customer data, and order volumes for your hub are HollerShop confidential information.
11. Term and termination
- Initial term. 90 days from signing.
- Renewal. Automatically renews month to month after the initial term unless either party terminates.
- Termination for convenience.Either party may terminate by giving the other 30 days' written notice. Notice may be email to hubs@hollershop.com (for HollerShop) or to the email on file with you (for the Host).
- Termination for cause.HollerShop may terminate immediately for material breach, including: a safety incident, falsified information, repeated closure of the hub during posted windows, mishandling of customer data, loss of required insurance, or any conduct that poses a risk to customers, vendors, or HollerShop's brand. The Host may terminate immediately for HollerShop's material breach uncured for 14 days after written notice.
- After termination.Pickup orders already scheduled for windows after termination are reassigned to the customer's next-nearest hub or refunded. Earned fees through termination are paid in the next monthly cycle. Signage and any HollerShop-provided equipment are returned or, at HollerShop's option, disposed of by the Host. The license in Section 9 ends immediately.
12. Hub Host representations
You represent and warrant that:
- You have authority to enter into this Agreement.
- You have all licenses, permits, and approvals required for your space to operate as a pickup hub for goods.
- Operating a hub does not violate any agreement you have with a third party (lease, mortgage, HOA, etc.).
- All information provided in your application and in the Hub Host Onboarding Package is accurate.
13. Indemnification
You agree to defend, indemnify, and hold harmless HollerShop LLC, HollerShop, and our officers, employees, and contractors from any third-party claim arising out of:
- Injury, illness, or property damage occurring at your hub location.
- Your improper handling, storage, or release of goods at the hub.
- Your breach of this Agreement (including the privacy obligations in Section 8).
- Your violation of any law applicable to your space or its operation.
- Any claim by your employees or contractors against HollerShop.
HollerShop will defend, indemnify, and hold harmless the Host only against claims arising specifically and solely from HollerShop's gross negligence or willful misconduct.
14. Limitation of liability
To the maximum extent permitted by law, HollerShop's total liability arising out of or related to this Agreement is limited to the fees HollerShop actually paid the Host in the twelve (12) months preceding the claim, or, if less than 12 months have elapsed, the fees actually paid to date. HollerShop is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits.
15. Independent contractor
Nothing in this Agreement creates an employer-employee relationship. You determine the means and methods of operating your hub. You are responsible for your own taxes, insurance, employees (if any), and benefits. HollerShop will issue an IRS Form 1099-NEC where required by law.
16. Disputes
We first try to resolve disputes informally. If a dispute can't be resolved within 30 days of written notice, either party may bring the dispute in state or federal court located in Yancey County or Buncombe County, North Carolina, and both parties consent to personal jurisdiction and venue there.
Governing law: North Carolina, without regard to conflict-of-laws principles.
17. General
- Assignment.You may not assign this Agreement without HollerShop's written consent. HollerShop may assign without consent to a successor in interest.
- Severability. If any provision is held unenforceable, the remainder remains in effect.
- Entire agreement. This Agreement, together with the signed Hub Host Onboarding Package, the Privacy Policy, and the Terms of Service, is the entire agreement between the parties.
- Modifications.We may update this Agreement. We'll revise the “Effective” date and notify active Hub Hosts by email. Material changes take effect 30 days after notice.
- Notices. Notices to HollerShop go to hubs@hollershop.com. Notices to Host go to the email on file with HollerShop.
18. Acceptance
By signing the Hub Host Onboarding Package or by operating a HollerShop hub, you accept this Agreement on behalf of your business and represent that you have authority to do so. Acceptance may be electronic.
